1. Agreement to Terms

These Terms of Use constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and PartnerArmy LLC (doing business as Shopper Army; "Company", "we", "us", or "our"), concerning your access to and use of the ShopperArmy.com website as well as any other media form, media channel, mobile website or mobile application related, linked, or otherwise connected thereto (collectively, the "Site").

We are registered in Delaware and have our principal place of business in Florida. By accessing the Site, you confirm that you have read, understood, and agreed to be bound by all of these Terms of Use.

IF YOU DO NOT AGREE WITH ALL OF THESE TERMS OF USE, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SITE AND YOU MUST DISCONTINUE USE IMMEDIATELY.

2. Eligibility

• •Age Requirement: The Site is intended for users who are at least eighteen (18) years old. Persons under the age of 18 are not permitted to use or register for the Site.
• •One Account Per Person: You may only maintain one active account. Creating multiple accounts (including via different email addresses, IP addresses, or identities) is a violation of these Terms and will result in the immediate termination of all associated accounts and forfeiture of all Points.

3. Rewards Program and Points

Shopper Army allows users to earn proprietary virtual currency ("Points") for specific activities, including but not limited to completing Missions, installing third-party apps, signing up for new subscriptions, or purchasing services via affiliate links.

• •No Cash Value: Points are not actual currency, bank deposits, or property. They constitute a limited, non-transferable, revocable license to use the Service. You have no property interest in your Points until they are successfully redeemed.
• •Redemption: Points may be redeemed for third-party gift cards or, at our sole discretion, converted to cash transfers via third-party processors (e.g., PayPal, Venmo).
• –Note: Redemption via PayPal or Venmo is subject to the Terms of Service of those respective platforms. We are not responsible for frozen funds or errors caused by third-party payment processors.
• •Legacy Balances: Any legacy account balances denominated in USD (from prior versions of the Site) will be treated as Points of equivalent redemption value. We reserve the right to convert display currencies at any time to standardize the user experience.

4. Tracking, Verification, and User Conduct

Points are awarded only when the Third Party Merchant, Affiliate Network, or App Developer successfully reports the transaction or action to PartnerArmy LLC. To ensure you can be properly credited, you agree to the following strict conditions:

• •Ad Blockers & Extensions: You acknowledge that ad blockers, anti-tracking software, and certain third-party browser extensions can prevent us from tracking your actions. You agree to disable these tools when using ShopperArmy.com or clicking through to our partner sites. If you fail to disable them, or if you do not "opt-in" to necessary tracking cookies/permissions, we cannot attribute the action to you, and you will not receive Points.
• •Consistent Information (No "Burner" Identities): To successfully attribute actions (such as form fills or subscription signups), you must use consistent, truthful information. This means using the same valid email address, phone number, and real legal name on Partner sites as you do on your Shopper Army account. Using "burner" emails, fake names, or temporary phone numbers will prevent attribution, and we will not be liable for resulting missing Points.
• •No VPNs or Proxies: You must access the Services from a genuine, non-obfuscated IP address. The use of VPNs, proxy servers, Tor, or any other software intended to mask your location or identity is strictly prohibited. Use of such tools may result in immediate inability to redeem rewards, forfeiture of Points, and permanent account termination.
• •True and Accurate Information: You agree to provide only honest, true, and accurate information when creating an account, taking surveys, or completing Missions.
• •Fraud & Abuse: PartnerArmy LLC maintains a zero-tolerance policy for fraud. If we detect fraudulent behavior — including but not limited to the use of automated scripts/bots, multiple accounts per person, or falsified transaction data — your Account will be terminated immediately and all accrued Points will be forfeited.

5. Inactivity and Points Expiration

We reserve the right to expire Points or assess a "Dormancy Deduction" if your Account remains inactive to ensure our liability remains manageable.

• •Definition of Inactive: You are considered "Inactive" if you have not logged in OR completed a specific earning event (Mission, Survey, or Transaction) for a period of six (6) months or longer.
• •Deduction: If your account becomes Inactive, PartnerArmy LLC may deduct Points from your balance periodically until the balance reaches zero or until you reactivate your account by logging in or completing a Mission.

6. Product Testing and Endorsements

When you receive compensation, free products, samples, or rebates in exchange for a review, social media post, or feedback ("Mission"), you strictly agree to:

• •Disclose: Clearly and conspicuously state your connection to us (e.g., "I received this product as part of a Shopper Army promotion" or "#Ad" or "#Sponsored").
• •Be Honest: Your review must reflect your honest opinion and actual experience with the product.
• •Compliance: You agree to follow the FTC Guides Concerning the Use of Endorsements and Testimonials. PartnerArmy LLC monitors reviews and reserves the right to withhold Points or terminate accounts for non-compliance with these federal guidelines.

7. Third-Party Content and Links

The Site contains links to third-party websites ("Third-Party Websites") and content. We do not investigate, monitor, or check such Third-Party Websites for accuracy or completeness. You acknowledge that we are not responsible for any Third-Party Websites accessed through the Site. If you decide to leave the Site and access the Third-Party Websites or to use or install any Third-Party Content, you do so at your own risk.

8. Site Management and Termination

We reserve the right, but not the obligation, to: (1) monitor the Site for violations of these Terms of Use; (2) take appropriate legal action against anyone who, in our sole discretion, violates the law or these Terms of Use; and (3) otherwise manage the Site in a manner designed to protect our rights and property and to facilitate the proper functioning of the Site.

We may terminate or suspend your account and access to the Site immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

9. Limitation of Liability

IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10. Governing Law and Dispute Resolution

• •Governing Law: This Agreement is governed by the laws of the State of Delaware, without regard to conflict of law principles.
• •Binding Arbitration: Any dispute, controversy, or claim arising out of or relating to your use of ShopperArmy.com shall be resolved by binding arbitration, rather than in court, except that you may assert claims in small claims court if your claims qualify.
• •Venue: The arbitration shall be conducted in Delaware (or via telephone/online appearance if the claim is under $10,000, or at a mutually agreed location if required by applicable consumer law).
• •Class Action Waiver: WE EACH AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED OR REPRESENTATIVE ACTION.
